Business and Technology Law


The practice is devoted to counseling companies on ways to modernize, grow, compete and thrive in a business climate where customers demand more service, more choice and more convenience. Of course computers, the Internet and technology play a significant role in these efforts. The attorneys focus on emerging areas of technology law, such as technology and new media licensing and development, information technology, offshore and near-shore outsourcing transactions, telecommunications law, online gaming, online publishing, online privacy, Trade Secret Law, e-healthcare and e-banking regulations.

Our attorneys represent clients in licensing and outsourcing transactions domestically and internationally. We assist our clients in the structuring, documentation, and negotiation of complex outsourcing agreements. Most of these agreements relate to technology information services and telecommunications; however, our outsourcing experience also includes other business and managerial functions including for example the outsourcing of billing, collection, and receivables management, voice and data communications software development and maintenance, networked systems integration and operation.

Our Business & Technology group litigates cases in tandem with the firm's commercial litigators in business disputes relating to licensing, trade secret, trade mark, copyright and patent litigation.

Our experience includes:

  • Negotiating and drafting agreements for technology and software licensing and development; intellectual property procurement; business process outsourcing; OEM, VAR and reseller relationships;

  • Assisting companies with RFP preparation, response and assessment.

  • Counseling companies on privacy issues, including online privacy rights, workplace privacy rules, and EU data directives;

  • Drafting development and licensing agreements for the commercial exploitation of intellectual property, including trademark and patent licensing agreements and assignment agreements;

  • Counseling clients in aspects of strategic alliances, joint ventures, mergers and acquisitions, and business due diligence plans;
  •  Advising clients with regard to technology import/export issues, IPR and trade regulations;

  •  Counseling and representing clients in the prosecution and defense of proceedings before the U.S. Patent and Trademark Office;

  • Representing clients in federal courts through the Untied States to enforce his clients' intellectual property rights;

  • Drafting supply chain and distribution agreements to secure and ensure the proper distribution, commercial exploitation, and revenue sharing aspects of manufacturing arrangements.

  • Negotiating the procurement of computer systems, networks, and software for businesses.

  • Assisting employers in the development of employee policies and procedures and personnel manuals to address technology and access issues affecting the employment relationship including confidentiality and privacy issues.
