Professional Experience
Ryan Pinder, an attorney in the Firm's Tax Law Group, assists high net worth individuals as well as domestic and foreign corporations, partnerships, limited liability companies and S corporations in minimizing their tax burden while protecting their hard-earned wealth and assets.

Mr. Pinder advises local, regional, national and international clients in both taxable and tax-free mergers and acquisitions, business combinations, restructurings, private equity transactions, corporate joint ventures and other strategic alliances relating to domestic and international taxation, business valuation and business entity law.

Mr. Pinder counsels high net worth individuals and closely held businesses in forming their investment structures, succession planning and estate planning. His estate planning and wealth preservation representation includes both simple estate plans as well as more comprehensive estate plans that might include family partnership structures and trusts for charitable giving.

In addition to providing comprehensive tax consultation and planning to domestic and international clients, Mr. Pinder is experienced in representing large multi-national corporations in corporate governance and compliance issues. Mr. Pinder is also experienced in all areas of business entity representation from the initial formation to asset and stock sales and business combinations.

His experience includes negotiating and preparing corporate documents including entity formation, partnership agreements, employment/consulting agreements, stock purchase agreements, licensing and subscription agreements. He also advises clients regarding the international tax consequences of various inbound and outbound transactions and reorganizations. He devises estate tax plans for individuals including the following estate planning documents: pour over wills, revocable living trusts, durable powers of attorneys, living wills, health care surrogates, guardianship appointments and irrevocable life insurance trusts. Additionally, he assists corporate clients with structuring their operations in a tax efficient manner including issues relating to mergers and acquisitions, corporate structuring and e-commerce planning.

Activities and Memberships
Mr. Pinder serves as a mentor in the Ft. Lauderdale based Helping Abused, Neglected and Disadvantaged Youth (HANDY) LIFE Program which supports young adults who are making the difficult transition from foster and relative care to independent living. He is a member of the Florida Bar, Tax Section and International Section and the American Bar Association, Tax Section.
